(BM&F), the world’s fourth largest derivatives exchange and the largest derivatives exchange in Latin America, announced that they have signed a non-binding letter of intent covering a proposed cross-investment between them. Under the arrangement, CME Group will acquire an equity stake of ~10%in BM&F in exchange for an equity stake of approxima~ 2% in CME Group. The transaction is expected to be completed following the close of BM&F’s initial public offering, which is expected to occur this year.

On their conference call co notes their longer term expectations remains in the range of menu price increases or 1-2%. For 2007, co’s overall revenue growth target is 15-16%. Which translates into 15% growth in the 4th quarter. This is a little bit lower than our previous guidance and reflects the softer sales they experienced in the second half of September and the first couple weeks of October. Overall comparable calls are tracking between flat and a positive 1%. Co is on target to achieve our goal of opening as many as 21 new restaurants including five Grand Lux Cafe. Based on co’s current outlook for warehouse club sales they expect bakery sales to be approximately flat to down 1% in fiscal 2007 compared to the prior year. Co is targeting revenue growth of 14-15% not much different than for the last few years, net income growth of 18-19%. Co’s plan consists of three key objectives, expand their restaurant base at a rate that is healthy for our business. Two use their free cash flow to return cash to stockholders and improve our operating margin by 30 to 50 basis points. Co’s plan is to open 17 new restaurants and as much as three to four Grand Lux Cafe and one Rock Sugar Pan Asian Kitchen, their newest concept. The 2008 plan targets four fewer restaurants than in 2007. Co doesn’t believe they will be changing their pricing strategy. In Q&A co notes that as of now, both staff members and stores are impacted by fires in California. In 2008, co is assuming flat labor and commodity costs.

Mgmt also noted that to some degree, the business is recession-proof. As an example, when Japan had their 10-yr recession, it did not effect CLZR. Mgmt does not think a slowdown will affect its business.

However, they are actively pursuing a number of deals that could potentially close in Q4. Co says the much larger synthetic hernia line experienced a slight decline for the period, resulting in a net decline for the core hernia category. They believe growth will be challenging until their internal pipeline of differentiated products begin the launch in the back half of next year. Co says their rev issues in hernia are driving an unfavorable mix in gross profit, which is making it difficult to show improvement. For 4Q07 the co is expecting constant currency revenue growth between 8 and 9% for the coming quarter. Their surgery business will continue to face supply issues in the qtr. Co their international businesses are currently running a little bit soft. Co says in their surgical business, the restored clinical trial for the treatment of parents with after gastric bypass surgery continue enrollment with 10 active centers. Co says their enrollment is slower than expected, and they’re evaluating options for improving patient recruitment. Their original plan was to enroll through mid-2008, but says enrollment may take a few quarters longer than expected. When asked about oncology the co they had some particularly tough comps in prior years based on the launches of a number of products within the oncology space. Co says they have one major new product launch in Q4, the valve PICC Solo which they think has a very unique position in a great space. Co says they were probably slightly behind their plan in biologics, but, not substantially.

In addition to these third-quarter issues, the nine-month year-to-date results during 2007 also have included challenges with the performance of some new LHD equipment and lower productivity at the Stillwater Mine during the labor negotiations that led up to the strike. The co announces “that a three-judge panel of a district court in Dusseldorf, Germany, has orally announced a judgment in favor of Martek in the co’s patent infringement suit against (i) Lonza Ltd., (ii) Celanese Ventures GmbH and (iii) Nutrinova Nutrition Specialties & Food Ingredients GmbH. In a separate suit against Lichtwer Pharma GmbH, one of Nutrinova’s customers, a similar judgment was announced. The first suit involves Lonza’s German sale and use of a fatty acid product currently marketed under the brand name Lonza DHA for use in functional foods and dietary supplements. The second suit involves Lichtwer’s German sale and use of a DHA-containing oil in a supplement marketed under the brand name AMEU(R) Alge. The court is expected to deliver its written judgments within thirty days. The decisions may be appealed by Lonza and Lichtwer to the higher regional court in Dusseldorf.”

The co announces that it “reported encouraging data from an ongoing phase 1 trial of XL184, a potent inhibitor of MET, RET, and VEGFR kinases, in patients with advanced solid tumors or lymphoma. Anti-tumor activity has been observed in a variety of cancers at doses that are not associated with significant toxicity. Consistent with the anti-VEGFR activity of XL184, preliminary pharmacodynamic analyses show reductions in several biomarkers of of angiogenesis… There were 33 patients available for safety, pharmacokinetic, and tumor response analyses as of the June 22, 2007 cutoff; further data were also provided for six additional patients after the cutoff. Of seven patients with medullary thyroid cancer, three have had partial responses (2 confirmed and 1 unconfirmed). Six of the seven patients had tumor shrinkage and one had non-measurable disease. All seven assessable patients with MTC experienced a rapid decrease in plasma levels of calcitonin, a marker frequently elevated in medullary thyroid cancer, and six of the seven patients had a decrease in the tumor marker carcinoembryonic antigen. All seven MTC patients are still on study. In addition, one patient with a neuroendocrine tumor has an unconfirmed partial response. In total, 15 patients with various solid malignancies or lymphoma have had stable disease lasting from three months to up to 20 months, including nine patients with stable disease for more than six months. “

Co presented updated data from a Phase 1 clinical trial showing that KOS-1584/R1645, an epothilone under co-development with Roche, demonstrated antitumor activity and tolerability in patients with solid tumors. KOS-1584/R1645 showed signs of activity in patients with non-small cell lung, ovarian, breast, prostate, pancreatic, head and neck and colon cancer. The Phase 1 trial explored two different schedules of KOS-1584/R1645 using escalating doses. Data reported today were from a trial investigating weekly dosing schedules (weekly 2 weeks out of 3 weeks and weekly 3 weeks out of 4 weeks). Common toxicities were generally low-grade and manageable. Co says they believe that KOS-1584 has the potential to achieve best-in-class status in the emerging epothilone market as well as to compete in the established taxane market. They look forward to our planned commencement of a Phase 2 clinical program for KOS-1584 toward the end of 2007.
