The co’s results for the 2007 third quarter include non-cash pretax impairment charges of $223.5 mln, or $2.12 per diluted share after tax, of which $175.2 million related to consolidated real estate inventories, $41.8 mln related to the Company’s share of joint venture inventory impairment charges, and $6.5 mln related to land deposit and capitalized preacquisition cost write-offs for abandoned projects. Excluding the third quarter impairment charges, the Company’s earnings would have been $0.27 per share.

Craver has served the co for eleven years, most recently as president and chief executive officer of Edison Mission Group, the co’s competitive power generation business.

18:47 CFC Countrywide: Earnings Preview (13.07 -0.76) -Update-

CFC is set to report earnings tomorrow in what is easily one of the most anticipated earnings reports and conference calls of the season. There is a lot of uncertainty what to expect and commentary will dominate the direction of the stock price. Back on July 24th co lowered their Q3 EPS outlook to a range of $2.70 to $3.30 as compared to previous outlook of $3.50 to $4.30. In their 8-K released a few weeks ago co estimated that it will incur a pre-tax restructuring charge of ~$125-150 mln, consisting of ~$30-35 mln in one-time termination benefits, $73-89 mln in lease termination costs and $22-26 mln in fixed asset disposals and other miscellaneous costs. Of the total amount of the pre-tax restructuring charge, ~$57 million is expected to be recognized in Q3. CFC estimates that of the total amount of the pre-tax restructuring charge approximately $65-90 mln will result in future cash outlays. We’d expect any mark-to-market commentary to generate significant interest. However, we’re not expecting co to make any specifics here as it appears there is no one in the industry with the answers but would pay attention to any questions surrounding these issues. Other areas of focus are the 1) CEO’s stock sales, 2) $16 bln ‘Home preservation program, 3) ARMs Loans, 4) Update on Operations, 5) Employee reductions and lawsuits, 6 6) Second Bail Outlay Rumors and 7) Deposit Growth. On Q1 results co notes rapidly expanding personnel computer market, progress against software piracy, and three quarters of Windows customers adopting premium versions, drove Client rev to $4.1 bln. Server and Tools rev increased 16% to $2.9 bln, driven by strong annuity license growth in Windows Server and SQL Server. Online Services Business rev grew 25% to $671 mln, including $80 mln for the half quarter of aQuantive revs since close. Business Division rev grew 20% to $4.1 bln. Entertainment and Devices rev grew over 90% to $1.9 bln, driven by higher than expected console sales and Halo 3. The strong demand for Halo 3 generated ~$330 mln in revs in the quarter, Xbox 360 console units increased over 90%, with over 1.8 mln units sold… On Guidance: Co sees PC growth rate at 10-12% for FY08, 11-13% for the qtr. For Client segment, co says they expect full year growth to be 12-13% and Q2 growth to be 62-64%, or 13-14% excluding certain rev deferrals in the prior year. Co says Server and Tools rev should be up 16-18% for the year, and 15-17% for Q2. Co expects double-digit growth across their server platform products and services. They forecast rev in the Online Service business to increase 33-37% for the year, and 32-35% in Q2; implies Online advertising growth in excess of 30% for the quarter and for the year. Business Division revs should be up 14-15% for the year, and 31-33% in the second quarter. In the Entertainment and Devices Division they’re forecasting rev growth of 15-20% for the full year, and flat to down 8% for Q2… Co says Vista adoption for premium SKUs is tracking above co’s original consensus when launched. They say it’s still early in the adoption cycle… Co did not disclose much on Facebook alliance… MSFT is trading at $35.42 in after hours

18:32 WFR MEMC Elec Conference Call Summary -Update-

Commentary on Pasadena Facility: have recovered from this discrete event to a steady state rate of production and are pleased that we are targeting to achieve the level of Q4 revenue targeted prior to the construction incident and able to recover some of the loss revenue from Q3. In addition version made no change to our target of achieving year end capacity of over 6,000 metric tons per year… Anticipating some sort of a price reduction in Q4, over Q3 in the low single digits and in spite of that are guiding the margins up in a reasonable fashion… Asked about monetization in Conergy deal: wouldn’t feel comfortable going into all the details and the wherewithal of that particular part of it, but fundamentally, can think of it as almost a phantom stock or tracking stock type of have vehicle and it would be done by a third party… not able to answer if they have any insurance coverage for the electical outage in Pasadena as it may be a litigious issue… CapEx in ‘08 with have an impact on wafer starts in ‘08 but more in the ‘09… Wafer pricing: wafer pricing environment won’t know for ‘08, until contracts are negotiated at the end of December; for Q1 as well as some of them for an annual basis on ‘08, however, know that obviously 200 millimeter is soft. 300-millimeter is going to continue to be competitive because there’s additional capacity coming online. But more important than just the pricing itself, which co calls mix normalized pricing is the change in mix, specifically for MEMC. As 300-millimeter continues to be an engine of growth for the semiconductor applications and 156-millimeter continues to be the engine of growth for the solar applications, both of which have higher than average margins then that would help offset some of the price decline, as well as obviously the costreductions… still have enough capacity out of expansion to be able to do one other deal about the size of the combined Gentech deal (approx $4-5 bln)… trick is going to be Christmas sales and what happens post-Christmas and into New Year’s and that’s going to be something they will have to wait and see; Seasonality is probably going to be typical. Unless there’s a massive buildup of inventories in the Christmas sales… don’t comment on who suppliers are… looks to bring solar wafering in house by 2009… expect both semi and solar to grow sequentially in Q4… drew down inventory to basically approximately meet the revenue figure, given the shortfall in poly production, and obviously that had an impact on wafer manufacturing utilization and that affects gross margins as well… says pricing of the deal are affected by size of the deals and the market conditions… says plenty of demand for poly out there and has not been beaten by lower priced guys; they have partnered with the people they want to do business with… says if new entrants are not successful that they will be able to move in and take business… Says $15 to $18 billion of solar wafer contracts represents 50% of long-term targets that they had established, revenue targets on an annualized basis. .. Start at long-term pricing in the current market environment. And then they come down once a year over a ten-year period with the objective that by the end of the agreement; need to help enable partners to be able to deliver products that achieve grid parity for solar energy without subsidies, if it’s around $40 as a proxy… Pricing basically said was down in the low single digits, which is what was expected; anticipate a similar environment for Q4; expect a similar environment for Q4 and obviously Q1 onwards won’t know until the end of December… says if they achieve revenues of $540 mln in Q4 that they would still hit their Y07 EPS guidance orf $3.30… say long-term wafer pricing is 2x of a dollar to long-term poly pricing; don’t comment on what spot pricing… at this rate cash on balance sheet could be $2 billion within a year; co says could look to accelerate buybacks… haven’t provided ‘08 guidance so don’t know if they would feel comfortable commenting but the goal is to keep poly flattish, spot poly sales relatively flattish so that the growth primarily from the 156-millimeter engines… co has the ability to readjust contract pricing if ASPs continue to fall; says some people panic which is ok but they do have some items under their control to protect themselves….
18:31 COG Cabot Oil & Gas continues county line success; new acreage play in Appalachia (37.13 +0.13)

Co announced another successful horizontal James well at County Line in east Texas. The Timberstar-Worsham #1 well (78% working interest) has been completed and is flowing to sales at a rate of 12.2 Mmcfe per day. The lateral length was 4,636 feet with a seven-stage frac. Co says, “To capitalize on the success in the James, we are adding capital to drill four more wells this year and plan to drill 32 wells for 2008.” The field is producing at a restricted rate of approximately 19 Mmcf per day from five horizontal James wells, with two wells drilling and one well completing. Additional pipeline capacity is anticipated in the next several weeks.

On call, co says credit crisis, mkt turmoil and higher volumes were very positive developments for them, as their technology prevailed. Says listed option volume is most important to them. Says many competitors temporarily disappeared from the marketplace. Notes that some competitors cannot adapt as quickly to turbulent mkt conditions, and they benefited from this. Co kept focusing on building trading systems, saying they can make long technological strides during period of mkt distress… Notes that mkt making trade volume was up 60% YoY. DARTs were up 46% YoY in brokerage.

Co provided a status update pursuant to the alternative information guidelines of the Ontario Securities Commission. On October 5, 2007, the Co announced that it planned to restate financial statements relating to the Co’s accounting for certain items mainly pertaining to the 1997-2002 period, and to file a Form 10-K/A to amend its annual report on Form 10-K for 2006, and Form 10-Q/A’s to amend its Form 10-Q filings for the first and second quarters of 2007. The Co reported that its process of completing such restatement was moving quickly and that it expected to file its amended reports within the next two weeks. Except as to the above, there have been no material developments in the matters reported in the Co’s press release “IMAX to File Form 10-K/A” dated October 5, 2007.

(”Laser”) during Q2 of 2007. Management has determined that the previous accounting treatment resulted in an overstatement of the Partnership’s gross revenues and cost of goods sold for the second quarter of 2007 by ~$25.6 mln, but because costs were overstated by the same amount as revenue, there was no resulting impact on second quarter 2007 margins, net income/loss, cash flows, members’ equity, Adjusted EBITDA, Segment Profit, or balance sheet.

On the call, co says they benefitted from strong federal contract wins, as it was the fiscal year end for federal. The co also benefitted from “several million dollars” worth of backlog carryforward from Q2 in federal. Co says they are operating in federal about as strongly as they ever have, increasing their presence by getting into new programs as well as expanding on existing programs. Co is optistic for the long-term prospects for federal, and they are expecting a more robust 1H08 than they saw in 1H07. Co says their operating expanded to 29%; higher than their long-term goal of 20-25%. Margins were enhanced by lower manufacturing costs, efficiencies in support and services, and a shift to higher end products. The co expects Q4 operating margins to remain above the 20-25% range. The co says they were pleased with the pricing environment in Q3, and they don’t believe it has shifted. However, co is unsure if the current pricing environment is sustainable, noting that some competitors are making noise about entering some of their markets. Co is fairly optimistic regarding the enterprise segment going forward, saying they are adding new customers at a very respectabel rate. The co is expecting a rebound in the N. America and European markets, and they expect service provider revs to grow faster than enterprise. In the service/router market, co says they added over 50 new customers in the qtr. Although the co doesn’t provide financial guidance, co says they are very comfortable about continued growth through ‘07. All quantitative information points to growth. Co also says they are not seeing any impact from the current credit crunch, commenting that they have little exposure in the financial sector

18:02 SNCR Synchronoss Tech Conference Call Summary (35.85 -8.50) -Update-

On conf call, co guides Q4 revs roughly in-line with consensus. They expect Q4 revenue of $34.8-35.5 mln vs $35.5 mln consensus. The stock sold off a bit on the guidance apparently as investors were hoping the co would raise guidance. As it stands, the co’s Q4 mid-point is slightly below consensus. Of note, the co says it’s in the final stages of landing a second tier-one wireless customer (besides Cingular/iPhone deal). The deal could be announced this quarter. There seems to be a lot of interest from the analysts during the Q&A about the second tier-one wireless customer, but co cannot get into specifics although it sounds like it’s in the final stages. Co also says it recently began a direct relationship with Charter Communications (CHTR)… Co says it saw its run rate with LVLT increase significantly in the qtr. The LVLT relationship has never been stronger. Co sees opportunities with Comcast and Time Warner Cable… Siemens and Grupo Alma were picked up as new partners in Europe… Note: This stock has been all over the map. It sold off into the close then ran as much as 8 pts to 43.80 before pulling back on the mediocre Q4 guidance… stock at 40.51.
18:01 DYN Dynegy announces a strategic transaction for a portion of its interest in the Plum Point Power Generation facility (8.71 +0.24)

Co announced an agreement for the sale of a portion of the co’s indirect interest in Plum Point Energy Associates, LLC (PPEA) to John Hancock Life Insurance Company for $82 mln in cash. PPEA owns ~57% of the 665-megawatt Plum Point Power Generation Facility currently under construction near Osceola, Arkansas. The non-controlling interest to be purchased by John Hancock equates to ~125 megawatts in the Plum Point facility. Dynegy will maintain construction and commercial control of the facility. DYN expects to record a gain on the sale in Q4 2007, when the transaction is expected to close. John Hancock will also assume 50% of DYN’s contingent equity support obligations to the project lenders, resulting in a reduction of ~$14 mln in DYN’s outstanding letters of credit. The sales price of $82 mln is net of non-recourse project debt.

The co noted that there will be margin pressure in 4Q due to additional investments to benefit 2008 and seasonal supply chain shortages (may increase expediting and ordering costs) and rampup Ice Cube. Operating expenses will be larger in Q4 vs Q3. The co has 3 goals, grow revs, operate profitably and expand margins. The co experienced record book to bill in Q3. The new R&D facility in China will be fully operational in Q1 2008. The co put out AMD Barcelona based servers and so far customer feedback is good. The co continues building its pipeline. The co experienced minor customer diversification as the top 3 customers combined for 57% of the sales compared to 62% in Q2. Regarding an analyst question about the pricing environment, the co said that there were no typical pricing pressures, cos based buying decisions on platforms and architecture. When the debate regarding what to buy moves to ecological issues, the co benefits enormously. The co is planning to expand virtualization beyond VMware and consolidating everything into one or two racks for customers. The co is seeing positive demand from financial services and federal sectors and internet travel subsector, the co sees demand here as very solid and they are keeping an eye on it. Regarding intl expansion, the co is focusing on helping US customers to expand intl.

WSJ reports the co confirmed that Peter Forlenza, co-head of equities, has left the co in the midst of a shake-up at the corporate and investment banking unit. Forlenza’s departure was announced via an internal conference call Wednesday afternoon, just before Bank of America detailed sweeping changes at its global corporate and investment bank. The changes include the ouster of unit executive and vice chairman R. Eugene Taylor, layoffs of 3,000 employees and a strategic review with the potential to further shrink the business. Forlenza left of his own volition, the bank said.

Effective today, the Company’s indirect workforce (overhead) was decreased by 17%, which equates to an 8% reduction in the co’s overall employee population. In addition to savings attributed to this reduction in workforce, the Company expects significant savings resulting from, among other things, a reduction from three manufacturing shifts to two. On their conference call, DECK noted their Q3 results were driven by the strong full price selling of the Ugg brand throughout both the U.S. and internationally. Co said the consumer reaction to the UGG brand’s fall line has been extremely favorable Co says success at penetrating new geographic regions, increasing shelf space and broadening their target market also contributed to better than expected results. Co notes Ugg sales were fueled by robust demand for entire product line. Teva was fueled by sell-through for sandals. Simple was negatively impacted by shipping delays for ecoSNEAKS. Co notes inventory for Ugg brand has increased due to sales growth expected in Q4. Co’s is fairly comfortable with inventory level. Co notes margins in international markets are consistent. Co says there are no mark down or inventory risks there. International margin vs. Domestic margin: Co notes price is higher in U.K., but distributor in U.K. comes into play. Co notes Ugg is catching up to Teva in the international market. In first half ‘08, co expects Ugg to be up in the double digits. Co is continuing along the path they have been on. There is more presentation of the brand and notes it is inevitable to see growth. In regards to U.K., co notes Ugg reminds him of how it was in the U.S. in 2003. Believes they are on the cusp of something big in Europe. Co notes over the years they have been less dependant on the classic/core styles, but notes they are always an important part of their mix. Co notes internationally U.K. has become there largest market. Co still has opp in Germany, France, etc. Co doesn’t have a distributor in France yet. Co notes distribution for Teva is strong and healthy.

Anyone watching the stock market all day, every day, has plenty of reason to be tired this week. Aside from all of the earnings news, the manic nature of the trading alone has been enough to put you on bed rest for a while… Thursday was certainly no exception as we once again witnessed another large sell-off only to see the stock market come barreling back in afternoon trading… At their lows for the day, reached right around 2:00 ET, the Dow, Nasdaq and S&P were down 127, 40, and 15 points, respectively. What doesn’t show up in those figures, though, are the gains that were registered in the early going. For added perspective, then, note that the swings between the high and low points for the Dow, Nasdaq and S&P were 193, 54 and 23 points, respectively… The initial move higher was fueled by encouraging earnings news from the likes of Motorola (MOT 19.30, +0.75), Aetna (AET 55.99, +3.09), Express Scripts (ESRX 60.94, +3.57) and Estee Lauder (EL 44.72, +1.40). Those companies, and others, helped offset disappointments from companies like Symantec (SYMC 18.50, -2.52), Dow Chemical (DOW 43.66, -0.32) and MBIA, Inc. (MBI 46.99, -8.20)… Buyers didn’t really pick up their efforts, though, until the September new home sales report hit the wires at 10:00 ET and helped mitigate the disappointment that followed weaker than expected durable orders and initial claims data… The headline of note was that new home sales increased 4.8% from August to an annualized rate of 770K units. The rally that followed the report, though, was certainly questionable when taking into account that the level of new home sales was in line with the consensus estimate and that it only showed growth because the prior month’s report showed a 7.6% downward revision to an annualized rate of 735K units… In due time, the new home sales enthusiasm faded and sellers returned in earnest upon hearing a rumor that Dow component AIG (AIG 61.79, -2.05) would soon be announcing a large write-down… The speculation surrounding AIG hit other financial stocks hard. At one point the S&P financial sector was down 2.3% Oil prices surging past $90 per barrel on supply concerns and news that the U.S. imposed new sanctions against Iran exacerbated the selling pressure… Things turned on a dime, however, as the rumors surrounding a potential AIG write-down got shot down. That paved the way for buyers to return to the action and they did so with some conviction as larger losses were pared considerably… The comeback effort was a broad-based affair. The financial sector (-0.6%) played an influential role, but at the end of the day, it still underperformed the broader market as did the consumer discretionary (-0.9%), technology (-0.3%), industrials (-0.5%) and telecom services (-0.6%) sectors… The utility sector (+2.0%) was the only sector to gain more than 1.0%, but its small weighting in the S&P meant it didn’t have the pull to make a bigger difference. The energy (+0.6%), health care (+0.4%), consumer staples (+0.4%) and materials (+0.5%) sectors were also among the leadership… Separately, the Treasury market lost some ground, but nothing too significant. The 10-year note slipped 7 ticks, bringing its yield up to 4.37%.

Stuck in the Middle again

Well, this is an awfully odd opening to this Thursday. I would say we are back waiting for next weeks Fed decision again and things are just range bound, sell the rips, and buy the dips, the hard part is where are the dips and rips bottoms right now. I am playing it small into the fed as I can’t control the intervention machine and it has me scratching my head daily. Your itchy trader will play it tight until something gets me more grounded, because quite frankly this is a bizarro world we are living in now and I don’t get it. Rather, I get it less than I used to.
