Saying they now have a strong base of operations in Shanghai with which to address the China market(Centrality acquisition) and reaffirming what they said in a conf a few weeks ago that the integration is going well, still expect it to be accretive in Q1. PND growth continues on a pace that I generate unit growth of ~100% y/y. Noting that interest and demand continue to increase in their wireless products. Noting that RIMM continues to launch new G.P.S. enabled products. Seeing sustained interest from Asian consumer electronics and computing companies. Asia/Pacific revs accounted for 84% of revs while the U.S. was at 9%. Saying they expect to maintain their gross margins in the 54-55% range. Saying they have a good opportunity to maintain their market-share in the short term despite previously commenting that they expect to lose a small amount of share. Saying they don’t know how big the wireless GPS market could do in 2008, “All indications are that the growth is very high. The key question is, is the growth, you know, 100%, 200%, or even higher than those numbers?” Saying that they expect PNDs to constitute about 85% of revs for the next few years. Saying they see a significant portion of handsets containing GPS by the end of 2008 but won’t get more specific. Co announced that Q3 2007 oil and gas production volumes averaged 448.5 mln cubic feet equivalent per day (MMcfe/d), up from 447.5 MMcfe/d in Q3 of 2006. Reflecting positive results from new horizontal oil wells in southeast New Mexico and West Texas, third-quarter oil production grew 12.5% to an average of 20,537 barrels per day. Gas production in the latest quarter averaged 325.2 mln cubic feet per day (MMcf/d) versus 338.0 MMcf/d a year-earlier.

WSJ reports after opposing the co’s moves to dramatically reshape the wireless industry, Verizon Wireless (VZ) is now in serious discussions with the Internet co over carrying phones tailored to a new Google operating system, a person familiar with the discussions said. Within two weeks, Google is expected to announce new software and services that handset makers could use to build customized Google-powered phones. The co needs wireless operators to sign onto the project in order to get Google-powered mobile devices in front of consumers by the middle of next year. A Google technology partnership might allow the carrier to offer cheaper phones, since Google’s licensing fees for its software and operating system would likely be lower than the industry standard, the person said.

Crested announces the sale of the Ticaboo Townsite to Uranium One for approximately $2.7 mln in cash. The Ticaboo Townsite is located approximately 5 miles from Uranium One’s Shootaring Canyon Uranium Mill in southeastern Utah, which was purchased from U.S. Energy on April 30, 2007. The fully developed Ticaboo Townsite includes commercial operations, a 149-unit mobile home park, a single-family residential subdivision with 98 lots and an RV park. Commercial operations include a 70-unit motel, a restaurant/lounge, convenience store and a boat storage/service facility. Under an agreement with USE, Crested shares 50/50 in the cash flows from Ticaboo and will receive credit for 50% of the $2.7mm proceeds from this sale.

As is the co’s practice, it did not provide guidance… Co said Macau experienced unfavorable seasonality in Q3 and an increase in supply, but added Wynn Macau did not suffer from the new supply (Briefing.com note: That was the only notable comment from the co’s prepared comments, which were very short). Added in Q&A that mass floor was down when the Venetian Macau opened, but their VIP is currently “jumping”. In response to MGM comments this morning that its MGM Grand Macau is bigger than its neighbor Wynn Macau, co says their expansion goes into effect between Dec 15-Jan 15, right when MGM opens… Co says not currently looking for land in Macau or Cotai, but “never say never”. Adds already extremely busy with developments in both areas and Las Vegas, and don’t think can do unlimited number of hotels. Wouldn’t do joint venture if it lowered the quality of the brand name. Don’t mind being smaller than competitors… Co says have very healthy relationship with junket operators. Do not feel need to discuss price/commissions with them, as the co view’s itself as a premium niche product… Co says building 1500-2000 villa suite hotels in Cotai. Co announced top-line results from the Company’s Proof- of-Concept Phase II clinical trial evaluating VSF-173 in a clinical model of excessive sleepiness. On the primary endpoint which evaluated the effect of the compound on the first four series of MWT tests, VSF-173 demonstrated improvements over placebo. The mean MWT sleep onset scores for the 50 mg, 100 mg and 200 mg, and placebo groups were 10.3, 12.9, 10.6 and 9.2 minutes, respectively. While the pair-wise analysis did not reach statistical significance, this magnitude of effect, ranging from 1.1 to 3.7 minutes, is generally similar to that observed with modafinil in the treatment of patients with narcolepsy.

Shrek the Third was once again the largest driver of the quarter, contributing approximately $92.1 ml in revenue, primarily from its significant international box-office receipts in the period. To date, the film has reached approximately $793 mln in box office on a worldwide basis, making it the third highest-grossing animated film of all time. Looking ahead, the co reiterated its expectation that revenue for the fourth quarter will be primarily driven by the home video performance of Shrek the Third, which will be released domestically on November 13, 2007. The co’s next theatrical release, Bee Movie, opens domestically on November 2, 2007. As is typical for most of its films’ theatrical releases, the co does not anticipate generating significant revenue in the fourth quarter from this title, as its distributor will likely not have recouped the upfront marketing and distribution costs. Also in the fourth quarter, the co’s first-ever televised holiday special, Shrek the Halls, will debut on ABC on November 28, 2007. The co expressed that this additional product will not have a material financial impact on the fourth quarter.

WSJ reports the co has emerged as the front-runner to buy the Philadelphia Stock Exchange, the country’s oldest stock mkt, people familiar with the matter said. Nasdaq has been in talks for months with the Philadelphia exchange, known as the Phil-Ex, but they cooled for a while earlier this year as Nasdaq pursued a separate deal announced in May with Nordic exchange operator OMX. Now, Nasdaq is attempting to close a deal with Phil-Ex that would give it a start in the U.S. stock options business, an area that it hasn’t focused on until recently. NYX was also looking at bidding for the Phil-Ex in an effort to boost its NYSE Arca options business. But Nasdaq’s interest appears stronger for the moment, as CEO Bob Greifeld looks to add businesses that are faster growing than Nasdaq’s established business for trading U.S. stocks. A deal isn’t certain at this point, and some issues need to be agreed upon before a final deal is reached. For instance, the Phil-Ex is estimated to be worth about $600 mln, and has relatively strong technology for trading despite a small presence in stocks. But much of the exchange’s worth is tied up in agreements between its current owners - mostly big brokerage cos - to send stock options orders to the exchange.

MA is expected to report Q3 earnings before the open tomorrow with the conf call following at 9 ET. Current Q3 consensus is for EPS of $1.42 on 1.03 bln in revs. The big issue on the call will be how big of a problem they are expecting the credit issue to be for them in the coming quarters and where they see delinquencies going. COF has recently stated that they saw people missing mortgage payments before missing payments on their credit card so it will be interesting to see if MA echoes that or takes a more cautious approach. The other issue is with fears of consumer spending. MA has their finger on the pulse of the consumer so their comments on spending trends will be watched not only for investors in this stock but for retailers in general. Another point of discussion is share buybacks, as they announced a $500 mln share repurchase last qtr and mentioned the possibility of a larger one going forward. Investors will want to know how aggressive they were in the market as a gauge of how confident they are in their cash/liquidity position. Recent Price Action: After a huge run from $50 to $175 in 2006 and early 2007 it has started trading more with the market since the credit related pullback and has actually underperformed slightly. The filed reports include the annual report for Fiscal 2007, an amended quarterly report for the first quarter of Fiscal 2007 and quarterly reports for the second and third quarters of Fiscal 2007, and the first and second quarters of Fiscal 2008. Co announces the impact of the recently adopted German Business Tax Reform 2008 on current year financial statements. The German Business Tax Reform 2008, which became effective on August 17, 2007, reduces the corporate income tax rate in Germany, resulting in a reduction in the combined German tax rate from approximately 39% to 31%. Although this tax rate change will have a favorable impact on tax expense associated with profits earned in Germany in FY08 and beyond, the co is required by financial accounting standards to revalue its net deferred tax asset due to this change. The co’s net deferred tax asset in Germany is primarily due to the tax benefit resulting from the Net Operating Loss carry-forward acquired through the purchase of HL Planartechnik in November 2005. As a result of the new tax reform and associated decrease in effective tax rate in Germany, the value of the deferred tax asset has been reduced by approximately $1 mln, from $4.3 million to $3.3 million. This charge will be reflected in the Company’s second quarter results.

WSJ reports as the board of the co canvasses Wall Street for possible successors to Stan O’Neal, one option being discussed is naming a director as nonexecutive chairman on an interim basis, according to a person briefed on the plan. It isn’t clear if the board will name an interim CEO as well or just leave unstated that the co will continue to be run on an interim basis by the mgmt tier below Mr. O’Neal. If that is the case, it would mean that Gregory Fleming, the current co-president who is himself a candidate for the CEO job, is likely to be heavily involved in the day-to-day operations. Bob McCann, currently the firm’s brokerage chief, may eventually gain a larger role in the co as Merrill attempts to right itself after Mr. O’Neal’s weekend fall. Merrill’s other co-president, Ahmass Fakahany, is expected to at some point leave the co and isn’t considered a contender for a senior role. Mr. Fakahany shared oversight over the risk the co took in amassing a huge mortgage-related securities position that helped fuel an $8.4 bln write-down last week.

The motion for a salvage award has no bearing on the approximately 1800 artifacts recovered by RMST in its first expedition to the wreck of the RMS Titanic in 1987, for which title rests with RMST pursuant to a 1993 decree from a French maritime tribunal which gave it an in specie salvage award for all of those artifacts.
